2. Services Description

Regnotosh provides premium email marketing services including, but not limited to, performance-based email campaigns (CPA/CPS), deliverability management, dedicated SMTP infrastructure, email list management, analytics and reporting, and global outreach strategy. The specific scope, deliverables, and terms of any engagement are governed by a separate service agreement between Regnotosh and the client.

3. Acceptable Use

You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services to send unsolicited bulk email (spam) or any communication that violates applicable anti-spam laws, including CAN-SPAM, CASL, or the EU ePrivacy Directive
• Use the Services to distribute malware, phishing content, or any harmful or deceptive material
• Attempt to gain unauthorised access to any part of the Site or our infrastructure
• Engage in any activity that disrupts, damages, or impairs the Site or Services
• Misrepresent your identity or affiliation in connection with the Services
• Use the Services to promote illegal products, services, or activities
• Violate any applicable local, national, or international law or regulation

4. Client Responsibilities

Clients engaging Regnotosh for email marketing services are solely responsible for:

• Ensuring all email lists used are lawfully obtained and that recipients have provided valid consent where required by law
• The accuracy, legality, and appropriateness of all content, offers, and materials provided to Regnotosh for use in campaigns
• Compliance with all applicable laws and regulations governing their industry and marketing activities
• Maintaining appropriate unsubscribe mechanisms and honouring opt-out requests promptly

5. Intellectual Property

All content on the Site — including text, graphics, logos, images, and software — is the property of Regnotosh or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

Client-provided materials (copy, creative assets, brand elements) remain the intellectual property of the client. By providing such materials to Regnotosh, you grant us a limited, non-exclusive licence to use them solely for the purpose of delivering the agreed Services.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed in connection with the Services, including but not limited to campaign strategies, list data, performance metrics, and pricing. This obligation survives termination of any service agreement. Regnotosh will not disclose client data to third parties except as required to deliver the Services or as required by law.

7. Disclaimers

The Site and Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Regnotosh disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we strive for industry-leading inbox placement rates, we do not guarantee specific campaign results, open rates, click-through rates, or revenue outcomes, as these depend on factors outside our control including recipient behaviour, list quality, and market conditions.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Regnotosh shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of the Site or Services, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the fees paid by you to Regnotosh in the three months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Regnotosh and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any applicable law or third-party rights.
